Terms & Conditions
These Terms & Conditions apply to the hire of monitoring equipment and provision of environmental and occupational monitoring services by First Choice Hire.
For the purposes of these Terms, "First Choice Hire", "we", "us" or "our" means the First Choice Hire entity identified as the supplier within the applicable Quotation, Order Confirmation or Invoice, being either First Choice Hire Ltd (United Kingdom) or First Choice Hire Environmental Development Consultants INTL – FZCO (United Arab Emirates).
By accepting a quotation, issuing a Purchase Order, confirming works by email, signing a proposal, or accepting delivery or installation of equipment or services, the Client confirms acceptance of these Terms & Conditions unless otherwise agreed in writing
# 1. Order of Precedence
These Terms & Conditions together with the quotation and any written proposal issued by First Choice Hire shall take precedence over any terms contained within the Client’s purchase order, subcontract or other contractual documentation unless specifically agreed in writing by a Director of First Choice Hire.
The issuing of a Purchase Order or confirmation to proceed shall be deemed acceptance of these Terms & Conditions.

# 2. Health & Safety and External Disruption
First Choice Hire prioritises the safety of its employees, contractors, clients and suppliers when carrying out services.
Where government guidance, legislation or external events affect the delivery of services, First Choice Hire reserves the right to adjust working practices, delivery schedules or installation methods where reasonably necessary.
Such events may include but are not limited to:
• public health outbreaks or pandemics
• government restrictions or emergency legislation
• war, terrorism or civil unrest
• transport disruption or supply chain interruption
• site access restrictions imposed by third parties
First Choice Hire shall not be held responsible for delays or interruptions caused by events outside its reasonable control.
Information Provided by the Client
The Client is responsible for ensuring that all information, drawings, specifications, site details, access requirements and other information provided to First Choice Hire are accurate and complete. First Choice Hire shall be entitled to rely upon information supplied by the Client when preparing quotations, monitoring arrangements, installation requirements and associated services.
First Choice Hire shall not be responsible for additional costs, delays or performance issues arising from inaccurate, incomplete or subsequently changed information supplied by the Client or third parties acting on its behalf.

# 3. Order Confirmation
To proceed with services the Client must provide company details and a Purchase Order confirming the agreed quotation.
The Client enters into agreement with these Terms & Conditions when confirmation is received via:
• Email confirmation to proceed
• Signed quotation or proposal
• Purchase Order or Purchase Order number
• Project number
• Signed Handover Certificate

# 4. Change of Contractor / Project Handover
Construction projects may transfer between contractors, developers or managing parties during the course of works.
Where monitoring equipment supplied by First Choice Hire remains installed on site during a change of contractor or project handover, the monitoring services shall continue under the original agreement unless otherwise agreed in writing.
The party requesting continuation of the works or taking control of the site shall become responsible for the monitoring equipment and associated charges from the date of project handover.
Monitoring equipment shall remain on hire and charges shall continue until equipment is formally off-hired and collected by First Choice Hire.

# 5. Equipment Hire
## Hire Duration
For portable monitoring equipment the hire period begins when the equipment is delivered or collected and ends when the equipment is returned to First Choice Hire.
If the Client wishes to extend the hire period they must notify First Choice Hire before the end of the original hire duration.
If no notification is received the hire will continue automatically and be charged at the applicable daily rate.
International & Offshore Hire
Equipment must not be taken outside the agreed country, site or offshore location without prior written agreement from First Choice Hire.
Where First Choice Hire agrees to international or offshore use, the Client is responsible for ensuring the equipment is transported, handled, stored, operated and protected appropriately throughout the hire period.
Hire charges will continue until the equipment is safely returned to First Choice Hire or collected by First Choice Hire where collection has been expressly included within the Quotation.
Sub-Hire and Transfer
The Client must not sell, sub-hire, loan, transfer possession of or otherwise provide the equipment to any third party without prior written authorisation from First Choice Hire.
Recovery of Equipment
Where the Client is in material breach of the Agreement, fails to make payment when due, becomes insolvent, or First Choice Hire reasonably believes its equipment is at material risk of loss, damage or unauthorised removal, First Choice Hire may suspend the hire and, subject to applicable law and site requirements, arrange for the recovery of its equipment. Reasonable costs incurred in recovering the equipment may be charged to the Client.

# 6. Delivery and Shipping
Delivery charges are outlined within the quotation unless otherwise agreed.
First Choice Hire uses reputable courier services but cannot accept responsibility for courier delays or delivery errors.
Clients are responsible for returning equipment via insured and tracked courier unless collection has been agreed.
International & Offshore Shipping
Unless expressly stated as included within the Quotation, the Client is responsible for all costs associated with international or offshore transportation, return freight, customs clearance, import/export requirements, duties, taxes, permits, port charges, offshore handling and any other third-party logistics charges.
Where transportation or shipping is arranged by the Client or its appointed third party, the equipment remains at the Client's risk during transit.
First Choice Hire shall not be responsible for additional costs or delays arising from customs clearance, port operations, vessel availability, offshore access, adverse weather, transportation providers or other circumstances outside First Choice Hire's reasonable control.
The Client must not sell, sub-hire, loan, transfer possession of or otherwise provide the equipment to any third party without prior written authorisation from First Choice Hire.
Licences/import documentation
The Client is responsible for obtaining any licences, approvals, permits or documentation required to import, export, transport, possess or operate the equipment within the destination country or offshore location, unless First Choice Hire has expressly agreed in writing to provide such documentation or services.

# 7. Equipment Condition
All equipment is inspected prior to dispatch.
The Client must inspect equipment as soon as reasonably practicable following delivery and, where possible, within 24 hours, and report any apparent defects or damage by email before the equipment is put into use.
Failure to report issues within this timeframe may result in the Client being liable for damage identified upon return.
Equipment must not be opened, dismantled, altered, repaired, modified, marked or defaced, including any modification to power supplies, cables, connections, enclosures, mounting arrangements or components, without prior written authorisation from First Choice Hire.
The Client must use the equipment in accordance with any instructions provided by First Choice Hire and must take reasonable steps to prevent misuse, interference, damage, contamination or unauthorised access.
The Client will be responsible for reasonable inspection, cleaning, decontamination, repair, recalibration or replacement costs resulting from damage, contamination, water or saltwater ingress, corrosion, misuse or unauthorised modification.
First Choice Hire shall not be responsible for equipment faults or loss of performance resulting from misuse, unsuitable power supplies, Client or third-party interference, unauthorised modification, accidental damage or operation outside the equipment's intended conditions.
A cleaning charge may apply where equipment is returned contaminated.

# 8. Site Monitoring and Measurements
Where agreed within the quotation, First Choice Hire will attend site and carry out monitoring measurements.
Unless otherwise agreed in writing, reports provide **measurement data only** and do not constitute consultancy advice.
The Client is responsible for providing site access and any relevant safety information prior to site attendance.
Site Access and Installation
The Client is responsible for providing safe and reasonable access to the agreed installation and monitoring locations, together with any necessary site inductions, permits, escorts, access equipment and suitable power or communications infrastructure identified as being the Client's responsibility.
Where installation, relocation, maintenance or removal cannot be completed because of restricted access, unsafe conditions, unavailable permits, Client delays or other circumstances outside First Choice Hire's reasonable control, additional attendance, travel, waiting or logistics costs may be charged to the Client.
Additional Attendance
Where First Choice Hire is required to attend site as a result of Client or third-party interference, misuse, unauthorised modification, unsuitable site conditions, unavailable power or communications, failure to follow instructions, or an issue subsequently found not to be attributable to First Choice Hire equipment or services, First Choice Hire reserves the right to charge its applicable site attendance rate together with reasonable travel, logistics, repair, replacement and associated costs.

# 9. Data and Monitoring Reports
Monitoring data is provided to assist the Client in understanding environmental conditions during the monitoring period.
Monitoring reports are prepared solely for the Client and may not be relied upon by third parties without written consent from First Choice Hire.
Any concerns regarding monitoring data must be raised within **14 days of the report being issued**, after which the data will be deemed accepted.
Intellectual Property
All intellectual property rights in First Choice Hire's templates, methodologies, systems, software, report formats, drawings, monitoring arrangements and other pre-existing materials remain the property of First Choice Hire or its licensors.
The Client may use reports, monitoring data and other deliverables produced specifically for the Client for the purposes of the relevant project, but may not reproduce or commercially exploit First Choice Hire's proprietary materials for unrelated purposes without prior written consent.
Portal Access and Security
Where online portal access is provided, login credentials are for authorised Client personnel only. The Client is responsible for maintaining the confidentiality and security of its login credentials and for activity undertaken using its authorised accounts.
First Choice Hire may temporarily suspend portal access where reasonably necessary for maintenance, security, system updates or circumstances outside its reasonable control.
Monitoring data and reports will be retained in accordance with First Choice Hire's applicable data-retention practices. The Client should download and retain copies of any data or reports required for its own long-term records.

## Historical Data and Investigations
Monitoring data may later be used by regulators, consultants or neighbours in complaint investigations.
First Choice Hire accepts no responsibility for interpretations of monitoring data made by third parties outside the context of the original report.
Clarification of monitoring methodology may be provided where reasonably requested but does not constitute expert witness services unless separately agreed.

# 10. Monitoring Connectivity and Power
Environmental monitoring systems may rely on mains power, mobile networks or internet connectivity to transmit data.
First Choice Hire cannot guarantee uninterrupted data transmission where interruptions occur due to:
• loss of power supply
• mobile network outages
• site electrical works
• poor network coverage
• third-party interference
Reasonable efforts will be made to restore monitoring services once issues are identified.
Nothing within these Terms & Conditions shall exclude or limit any liability to the extent that such liability cannot lawfully be excluded or limited under applicable law.

# 11. Changes to Site Activities
Construction activities may evolve throughout the project.
Where site activities change, First Choice Hire may recommend relocation or additional monitoring equipment to maintain appropriate coverage.
Any additional equipment, installation works or relocation may be treated as a **variation to the original quotation** and may incur additional charges.

# 12. Monitoring Equipment Relocation
Monitoring equipment must remain in the agreed monitoring locations.
Equipment must not be relocated, adjusted or interfered with without written approval from First Choice Hire.
Unauthorised relocation intended to influence monitoring results is strictly prohibited.
Where monitoring equipment is interfered with, First Choice Hire cannot guarantee the accuracy or completeness of monitoring data.

# 13. Noise Complaints and Neighbour Disputes
Monitoring equipment records environmental conditions at the location of the monitoring device.
Recorded levels represent measurements at that location and time and may not represent levels experienced at other locations.
First Choice Hire shall not be responsible for conclusions drawn by third parties during neighbour disputes or complaint investigations.

# 14. Monitoring Equipment Damage
Monitoring equipment must be protected from damage caused by construction plant, vehicles, cranes or site activities.
Where equipment is damaged due to site activities, the Client may be liable for repair or replacement costs.

# 15. Construction Programme Delays
Monitoring equipment is installed to record environmental conditions only.
First Choice Hire shall not be responsible for project delays, construction programme changes or operational decisions made by contractors in response to monitoring data.

# 16. Price and Payment
Charges are outlined within the quotation.
Taxes and VAT
Charges are exclusive of VAT and any other applicable taxes, duties or governmental charges unless expressly stated otherwise within the Quotation.
VAT or other applicable taxes will be charged where required according to the contracting First Choice Hire entity, location and applicable legislation.

# 17. Payment Terms
### Fixed Environmental Monitoring Systems
Projects exceeding **15 weeks** require staged payments:
40% mobilisation payment prior to mobilisation
50% interim payment at project midpoint
10% final payment on the final monitoring day
Monitoring equipment remains on hire until formally removed.
Where monitoring continues beyond the agreed monitoring period, hire charges will continue at the rates stated within the quotation.

### Minimum Monitoring Commitment
Where environmental monitoring systems are installed for a fixed monitoring period agreed within the quotation or project documentation, the monitoring period represents a **minimum hire commitment**.
Where the Client requests early removal of monitoring equipment before the end of the agreed monitoring period, First Choice Hire reserves the right to invoice the remaining balance of the agreed monitoring period.
This applies regardless of whether site activities have slowed, stopped or complaints have reduced.

### Monitoring Data Use
Environmental monitoring equipment, installation works, reporting and data management systems are provided as a service to measure environmental conditions during the monitoring period.
Charges apply for the provision, installation, maintenance and operation of monitoring systems regardless of whether the Client ultimately uses, relies upon or references the monitoring data.
The absence of complaints, regulatory action or environmental exceedances does not remove the Client’s responsibility for payment of the agreed monitoring services.

Invoices issued following site attendance are payable within **25 days**.

### Occupational Health Equipment Hire
Hire periods under **4 weeks require payment in advance**.

# 18. Late Payment
Invoices must be paid within **25 days** unless otherwise agreed.
Interest and reasonable administrative charges may be applied to overdue invoices in accordance with applicable law and the contracting First Choice Hire entity.
Administrative charges may also apply where invoices remain unpaid.

# 19. Equipment Responsibility
Monitoring equipment remains the property of First Choice Hire.
The Client is responsible for equipment from the moment of delivery or installation until it is returned or collected.
The Client must ensure monitoring equipment is covered by **site or project insurance**.
Monitoring equipment installed on construction sites may be exposed to the risk of theft, vandalism or accidental damage.
The Client shall take reasonable steps to protect monitoring equipment including ensuring equipment is installed in secure locations where reasonably practicable.
Where monitoring equipment is stolen, vandalised or damaged beyond economic repair while located on site, the Client shall be responsible for the reasonable replacement cost of the equipment together with any associated installation, calibration or recommissioning costs required to restore monitoring services.
For international or offshore hires, the Client's responsibility extends to all transportation, offshore transfer, lifting, handling and storage undertaken by the Client or its contractors.
The Client must ensure that its insurance provides appropriate cover for the full replacement value of the equipment throughout the hire period, including transit and offshore use where applicable.
The Client remains responsible for loss, theft or damage until the equipment has been returned to First Choice Hire or collected by First Choice Hire where collection has been expressly agreed.

# 20. Equipment Access and Recovery
First Choice Hire reserves the right to access site to inspect, service or remove monitoring equipment where required.
Reasonable site access must be provided.

# 21. Suspension of Services
First Choice Hire reserves the right to suspend monitoring services, reporting or portal access where invoices remain unpaid.

# 22. Cancellation
Cancellations must be made **24 hours before the agreed service date**.
Late cancellations may incur charges.
Suspension and Termination by First Choice Hire
First Choice Hire may suspend services, monitoring, portal access or equipment hire where the Client materially breaches the Agreement, fails to make payment when due, uses equipment in an unsafe or unauthorised manner, places First Choice Hire equipment or personnel at unreasonable risk, or becomes insolvent.
Where a material breach is capable of remedy, First Choice Hire will, where reasonably practicable, provide the Client with an opportunity to remedy the breach before terminating the Agreement.
Termination shall not affect any amounts already due or any reasonable costs associated with equipment recovery, outstanding hire, repair, replacement or other obligations arising before termination.

# 23. Warranty
Services will be performed with reasonable skill and care.
Equipment is supplied subject to manufacturer warranty where applicable.

# 24. Limitation of Liability
First Choice Hire shall not be liable for indirect or consequential losses including loss of income, business or reputation.
Maximum liability shall not exceed the value of services provided under the relevant quotation.
Nothing within these Terms & Conditions shall exclude or limit any liability to the extent that such liability cannot lawfully be excluded or limited under applicable law.

# 25. Governing Law
Where the contracting entity is First Choice Hire Ltd, the Agreement shall be governed by the laws of England and Wales and subject to the jurisdiction of the courts of England and Wales.
Where the contracting entity is First Choice Hire Environmental Development Consultants INTL – FZCO, the Agreement shall be governed by the applicable laws of the United Arab Emirates, subject to any mandatory provisions applicable to the Company's Free Zone registration.
Nothing within these Terms & Conditions shall exclude or restrict the application of any mandatory laws or regulations applicable to the provision of equipment or services in the relevant jurisdiction.

# 26. Amendments Terms
First Choice Hire may update these Terms & Conditions from time to time. The version applicable to an Agreement will normally be the version in force when the relevant quotation, order or Agreement is accepted, unless the parties subsequently agree otherwise in writing.
Updated Terms & Conditions will apply to new quotations, orders and Agreements from the date on which they are published.
